Whereas
the First Party is organizing Reach & Build Iraq Exhibition,
in Bahrain, Gulf International Conventions & Exhibitions
Center, dated 20 & 22 of March 2004.
And whereas
the Second Party has indicated its desire to participate
in this exhibition in a special stand with a specific
area against payment of a specific rent which has been
accepted by the First Party.
The two
said parties have agreed on the following clauses:
First
Clause:
This introduction is considered an integral part of the
contract.
Second
Clause:
The rental charge for stands in the exhibition is ($250)
two hundred fifty US dollars per square meter, which includes
the installations and services, listed below.
Third
Clause:
The Second Party will complete a "Participation Application
Form". All information in the form is considered
true and binding. The said application is considered an
enclosure to this agreement and forms part of it.
Fourth
Clause: The
filling of the application is considered a confirmed,
final and binding reservation of space in the exhibition.
Fifth
Clause:
The First Party undertakes:

To
reserve Gulf International Conventions & Exhibitions
Center for the whole period of the exhibition. |

2- |
To
equip the exhibition site with special metal dividers
with white partitions between stands and installing
(Fascia) for writing the name of the exhibitor in
Arabic and English and the stand number and provide
carpeting for the stands and passageways. |

3- |
To
install in each 9 square meter from the stand: 3 spotlights,
1 table, 2 chairs, a special electric plug, carpeting,
a special signboard in the name of the participating
company and country. |
| |
4- |
To
provide electric current and lighting continuously. |
| |
5- |
To
provide full air-conditioning (heating and cooling). |
| |
6- |
To
ensure the daily cleaning of all stands, passageways
and external courtyards. |
| |
7- |
To
ensure a free parking area for visitors with a capacity
of more than 1,000 cars. |
| |
8- |
To
ensure full security for the exhibition site, stands
and external courtyards. |
| |
9- |
To
ensure full fire and theft insurance cover for the
whole exhibition site and its contents. |
| |
10- |
To
arrange for a customs agent to assist in the completion
of the custom clearance formalities of the Second
Party at the expense of the Second Party provided
the latter has sent an advance list of his exhibits
for the purpose of issuing a temporary entry permit
one month before of the opening date. |

11- |
To
carry out the special information and publicity campaign
to advertise and promote the exhibition on all Arab
media and satellite TV. The Second Party has the right
to request and receive details of this campaign. |
| |
12- |
To
provide opening party invitation cards (5,000) five
thousand invitations that includes leading political,
economic and industrial personages, Arab and foreign
company general managers, foreign ambassadors, influential
economic leaders and leading businessmen. |
| |
13- |
To
obtain visas for two representatives from each stand
in conformity with Bahraini Ministry of Foreign Affairs
regulations provided the Second Party submits 10 days
in advance of the opening date of the exhibition photocopies
of the passports which should be valid for at least
six months subsequent to the end of the exhibition. |
| |
14- |
Meet
& assist at the airport officials, participants
and representatives provided the hotel reservation
and flight details had been sent to Gulf hotel. |
| |
15- |
To
offer special rates from several hotels and provides
the required reservations (through Gulf hotel) |
| |
16- |
To
provide appropriates transport from and to hotels
and the exhibition site all through the exhibition. |
| |
17- |
To
assist in providing facilities and special rates for
packing and re-shipment. |
| |
18- |
To provide extra installations that may be required
by the exhibitor in his stand (on the account of
the exhibitor).

Sixth
Clause:
the Second Party undertakes:

1- |
To
provide a detailed list of its exhibits and their
value to the organizers at least one month in advance
of the opening. |
| |
2- |
To
undertake all internal decoration and equipping work
on 19 & 20 of March, 2004 under the supervision
of the First Party. |
| |
3- |
To
ship its exhibits on an appropriate date so as to
enable the First Party’s freight agent to clear and
store these exhibits at least one week prior to the
opening of the exhibition. |
| |
4- |
To
bear full responsibility for all damage caused by
him, his representatives or his exhibits during the
whole period of the exhibition. |
| |
5- |
To
have at least one representative present at his stand
all through the working hours of the exhibition. |
| |
6- |
To
desist from introducing into the exhibition grounds
any dangerous, inflammable or forbidden material as
well as printed matter of a political nature or contravenes
any laws or regulations. Such contravention will render
him subject to full civil and penal responsibility. |
| |
7- |
To
abide by all the exhibition organizational regulations;
respect borders between stands; abstain from installing
broadcasting systems, creating excessive noise and
loud sounds; and adding objects, signs or goods not
originally defined in the agreed lists. |
| |
8- |
To
settle in advance 50% of the total value of the occupation
charge for the stand defined in the "Participation
Application" on signing this contract. |
| |
9- |
To
settle the full balance (50%) of the total value one
month before the opening of the exhibition by bank
transfer to the favor of the First Party to “Lebano-Franciase
Bank” Beirut, Mazeraa branch A/C no. (1052180.00)
or to the marketing agent, this to be done as a matter
of course without need for any demands or follow-up
by the First Party. |

10- |
Not
to rent or concede his stand nor take a partner, whether
partly or fully, except with the advance written agreement
of the First Party. |
| |
11- |
To
evacuate the stand and all its contents within (24
hours) of the termination of the exhibition. After
this period, the exhibitor shall solely bear full
responsibility and all expenses resulting from his
delay and exhibits remaining on the exhibition grounds
shall be his sole responsibility and at his own expense. |
| |
12- |
To
completely refrain from taking any goods or exhibits
out of the stand before the end of the exhibition
and after settling any outstanding fees |
Seventh
clause:
In case the Second Party refrains from participation in
the exhibition for whatever cause or if it fails to fulfill
any of its obligations or clauses listed in this contract,
all payments paid by this party in advance will rightfully
become the property of the First Party without need for
recourse to warning or review and with no objection from
the Second Party for any cause.
Eighth
clause:
If it becomes impossible for the First Party to set the
exhibition up on the date mentioned above for reasons
of force majeure, it will be postponed to a later date.
All amounts paid by the Second Party will be considered
as down payment for participation in the exhibition on
the new date.
Ninth
clause:
Signing this contract is considered a clear, unreserved,
irrefutable and unadjustable acknowledgement of the two
contracting parties to abide by all the above clauses
during the whole period of the exhibition. The party contravening
this contract or any of its clauses will be liable for
a payment to the other party of a cash penalty equivalent
to twice the value of the amount mentioned in the "Participation
Application".
Tenth
clause:
The validity of this contract, composed of one page, will
automatically cease at the termination of the exhibition.
